These Terms of Service (“Terms”) are a legal agreement between you and Fundorah, Inc. (“Fundorah,” “we,” “us,” or “our”) governing your use of the Fundorah mobile application and related services (the “Services”). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old, a U.S. resident, and legally able to enter into a contract to use the Services. By using the Services, you represent that you meet these requirements and that the information you provide is accurate and complete.
2. What Fundorah Is — and Is Not
Fundorah provides a technology platform that helps working families organize their finances: tracking and planning the payoff of high-interest debt, helping you organize and understand credit information you enter yourself, tracking cashback, and facilitating investing in custodial accounts for their children. Fundorah is a technology company. Fundorah is not a bank, broker-dealer, investment adviser, or credit-repair or credit-counseling organization. The regulated financial services offered through the app are provided by our partners, described in Section 3.
3. Our Financial Partners
Some features are provided by our partners rather than by Fundorah. To use those features you will be asked to review and accept a separate agreement with each partner. Those agreements are between you and that partner, and Fundorah is not a party to them. Our partners are:
Investment advisory — Quantbase
Investment advisory services are provided by Quantbase, LLC ("Quantbase"), an SEC-registered investment adviser. Quantbase manages your custodial account on a discretionary basis, which means it selects and places trades in the account without contacting you before each one, following the strategy you select and the terms of the advisory agreement.__Before your custodial account is opened, you will be asked to review and separately accept Quantbase's Investment Advisory Agreement and to acknowledge receipt of Quantbase's Form ADV Part 2A brochure, Form CRS relationship summary, and privacy notice. Your advisory relationship with Quantbase does not begin until you complete that step, and accepting these Terms alone does not create one.
Brokerage & custody — Alpaca
Brokerage, clearing, custody, and identity verification are provided by Alpaca Securities LLC (dba Alpaca Clearing), a registered broker-dealer and member of FINRA and SIPC. Custodial investment accounts are opened and carried by Alpaca and are governed by the Alpaca customer agreement and related disclosures, which you must accept to open an account. Securities in your account are protected by SIPC up to applicable limits; SIPC does not protect against loss in market value.
Bank connectivity — Plaid
When you link an external financial account, connectivity is provided by Plaid Inc., subject to Plaid’s end-user terms and privacy policy. You authorize Fundorah and Plaid to access and use your account information solely to provide the features you have turned on, as described in those terms and our Privacy Policy.
4. Custodial (UTMA) Accounts
Fundorah’s investing feature helps you open and fund a custodial account for a minor under your state’s Uniform Transfers to Minors Act (UTMA), carried by Alpaca. You understand and agree that: you act as the custodian for the benefit of the named minor; contributions to a custodial account are generally irrevocable gifts to the minor; the assets legally belong to the minor and must be used for the minor’s benefit; and control of the account transfers to the beneficiary at the age of majority specified by applicable state law. You are responsible for understanding the legal and tax consequences of a custodial account and should consult your own advisers. When control of the account transfers to the beneficiary at the age of majority, your authority as custodian ends and the advisory agreement with Quantbase terminates as to that account. The beneficiary may enter into a new advisory agreement in their own name or transfer the assets. Quantbase and Alpaca will send instructions before that date.
5. Account Registration & Identity Verification
To use certain features you must create an account and complete identity verification (KYC) conducted through Alpaca to satisfy legal and regulatory requirements. You agree to provide accurate information, keep it current, and keep your credentials secure. You are responsible for activity that occurs under your account.
6. No Investment, Financial, Legal, or Tax Advice from Fundorah
Content and tools provided by Fundorah (including debt-payoff plans, credit information, projections, and educational material) are for informational and organizational purposes only and do not constitute investment, financial, legal, or tax advice from Fundorah. Any investment advice is provided solely by Quantbase, LLC. Investing involves risk, including the possible loss of principal. Projected or illustrated account values shown in the app are hypothetical, rest on the assumptions shown alongside each projection, and are not guarantees. Actual results will vary and may be lower. Investment projections are prepared by or on behalf of Quantbase and are subject to Quantbase's Form ADV Part 2A disclosures. You are responsible for your own financial decisions.
7. Debt & Credit Features
The debt and credit features help you organize information and plan payments. Fundorah does not lend money, negotiate with or pay creditors, or provide credit repair, credit counseling, or debt-settlement services. "Fundorah does not obtain your credit report or credit score from any consumer reporting agency. Credit information in the app is entered by you.
8. Cashback Feature
The cashback feature lets you record cashback you earn through independent third-party apps and services and choose to invest those amounts. Those third-party apps are not owned, operated, or endorsed by Fundorah, and your use of them is governed by their own terms. Fundorah does not guarantee any cashback amount or the availability of any third-party program. Fundorah does not receive any payment, commission, or revenue share from the third-party cashback providers.
9. Fees
Quantbase, LLC charges an advisory fee of $2.00 per month for each custodial account managed through the Services. This is the only fee charged for the advisory service. The fee is deducted monthly from the custodial account by Quantbase, which may sell securities in the account to cover it. If you maintain more than one custodial account, the $2.00 monthly fee applies to each account. Alpaca Securities LLC may charge separate brokerage or account fees, described in its customer agreement. Because the fee is a flat amount per account rather than a percentage of assets, it is a higher percentage cost on a smaller account. Quantbase will give at least 30 days' advance written notice of any change to the advisory fee.
10. Acceptable Use
You agree not to misuse the Services, including by providing false information; attempting to access accounts or data that are not yours; interfering with or disrupting the Services; using the Services for unlawful purposes; or violating any applicable law or the terms of our partners.
11. Electronic Communications & Consent
You consent to receive communications, disclosures, and agreements electronically from Fundorah and from our financial partners, including Quantbase's Form ADV Part 2A brochure, Form CRS, privacy notice, advisory agreement, and account communications, and you agree that electronic delivery satisfies any legal requirement that such communications be in writing. To receive documents electronically you need a device with internet access and the ability to open PDF files. You may withdraw this consent, or ask for paper copies at no charge, by contacting support@fundorah.com or Quantbase at support@getquantbase.com. Opening accounts through our partners may require you to accept additional electronic consent terms.
12. Intellectual Property
Fundorah and its licensors own all rights in the Services, including the app, its content, trademarks, and the “Fundorah” name and logo. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes in accordance with these Terms.
13. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or secure.
14. Limitation of Liability
To the fullest extent permitted by law, Fundorah and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or investment value, arising out of or relating to your use of the Services.
15. Indemnification
You agree to indemnify and hold harmless Fundorah and its affiliates from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of any third party.
16. Dispute Resolution & Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
(a) Informal resolution first. Before starting any formal proceeding, you agree to try to resolve the dispute informally by contacting us at support@fundorah.com and providing a written description of the dispute. You and Fundorah agree to make a good-faith effort to resolve the matter for at least 30 days before initiating arbitration.
(b) Binding arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, rather than in court. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
(c) Class-action waiver. You and Fundorah agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding. You and Fundorah waive any right to a jury trial.
(d) Exceptions. Nothing in this section prevents either party from (i) bringing an individual claim in small-claims court, or (ii) seeking injunctive or equitable relief in court to protect intellectual property or prevent unauthorized access to the Services.
(e) 30-day right to opt out. You may opt out of this arbitration agreement by sending written notice to support@fundorah.com within 30 days of first accepting these Terms. Your notice must include your name, the email associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, the remaining provisions of these Terms still apply.
(f) Separate partner agreements. Your custodial, brokerage, and advisory accounts are governed by separate agreements with Alpaca Securities LLC and [Surmount], which contain their own dispute-resolution and arbitration provisions. Disputes relating to brokerage or investment-advisory services may be subject to arbitration before FINRA or another forum as set out in those agreements, and this section does not override them.
(g) Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. To the extent any dispute is not subject to arbitration, you and Fundorah consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle, Delaware.
(h) Severability. If any part of this section is found unenforceable, that part shall be severed and the remainder shall remain in effect — except that if the class-action waiver in subsection (c) is found unenforceable, then this entire arbitration section shall be null and void.
(i) No waiver of securities law rights. Nothing in these Terms, including the disclaimers, limitation of liability, indemnification, and arbitration provisions, waives any right or remedy you may have under the federal securities laws, including the Investment Advisers Act of 1940, or under applicable state securities laws.
17. Changes to the Services or Terms
We may modify the Services or these Terms from time to time. If we make material changes to these Terms, we will provide notice through the Services or by other reasonable means. Your continued use after changes take effect constitutes acceptance of the revised Terms.
18. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or as required by law or our partners. Termination of the Fundorah app does not by itself close your brokerage or custodial account; those are governed by the Alpaca agreement, and your assets remain subject to that agreement and applicable law. Terminating your Fundorah account does not by itself terminate your advisory agreement with Quantbase. You may terminate that agreement at any time as described in it, and any prepaid fee will be refunded on a pro rata basis.
